Terms of Service

01Acceptance of terms

By creating an account, accessing, or using Nira ("Nira", "we", "us", "our"), a product of Nexaworks LLC d/b/a Nira Labs, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the service.

These Terms form a binding agreement between you (the "Customer", "you", "your") and Nexaworks LLC, a Texas limited liability company doing business as Nira Labs. If you are using Nira on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

02The service

Nira is an AI powered local intelligence platform that monitors publicly available customer reviews and posts on third party platforms you connect, drafts brand aligned responses, surfaces sentiment and trend intelligence, and tracks your local Google Maps ranking position over time for keywords you choose. The service is delivered as software as a service through app.niralabs.ai.

We may add, modify, or discontinue features at any time. We will give reasonable notice of material changes that affect existing functionality.

Third party platform availability. Integrations and services that depend on third party platforms may change, become unavailable, be delayed, rate limited, or restricted at any time. Nira is not responsible for actions or outages caused by third party platforms, and we cannot guarantee that any specific platform integration will remain available.

03Your account

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@niralabs.ai if you suspect unauthorized access.

You must be at least 18 years old or the age of majority in your jurisdiction to use Nira. Nira is built for business use. Personal use accounts may be terminated at our discretion.

04Acceptable use

You agree not to:

• Use Nira to violate any law, regulation, or third party right
• Submit reviews, replies, or content you do not have permission to publish
• Use Nira to send spam, harass customers, or post deceptive content
• Reverse engineer, decompile, or extract source code from our service
• Interfere with or disrupt the service, our infrastructure, or other customers
• Resell, sublicense, or redistribute access to Nira without our written permission
• Use automated systems to access Nira beyond our published API rate limits
• Attempt to gain unauthorized access to other accounts or our systems

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe pose a risk to the service or other users.

05Billing and subscription

Nira operates on a monthly subscription model. By providing a payment method and starting a subscription, you authorize us (through our PCI compliant payment processor) to charge the applicable monthly fee on a recurring basis until you cancel.

Advance billing. Subscription fees are billed in advance at the start of each billing cycle. Subscription fees are nonrefundable except where required by law. You authorize recurring billing for the duration of your subscription.

Pricing. Current pricing is published at niralabs.ai/#pricing. We may change pricing with at least 30 days' notice. Existing subscribers will be notified by email and may cancel before the change takes effect.

Auto response add on. If you enable the optional auto response feature, you will be charged $0.75 per reply Nira sends on auto approval, billed at the end of each billing cycle alongside your subscription fee. Manual draft approvals never incur the per reply charge.

Failed payments. If a payment fails, we will attempt to retry and notify you by email. After 7 days of failed payment attempts, your account access may be suspended until payment is resolved. After 30 days, your subscription may be canceled. Account data is retained per the cancellation terms below.

No free trial. Nira does not offer a public free trial. Every customer is a paying customer from day one.

06Cancellation and refunds

You may cancel your subscription at any time from your account settings or by emailing nira@niralabs.ai. Cancellation takes effect at the end of the current billing period. You retain access until that date.

No partial refunds. We do not refund unused portions of a paid month. If you cancel mid month, your subscription ends at the next billing date and you will not be charged for the following month.

Data retention after cancellation. After cancellation, account data may be retained for up to 30 days for reactivation, billing reconciliation, fraud prevention, or legal obligations. After that, data is deleted from active systems or anonymized unless we are required to retain it longer (for example, billing records that must be kept for tax purposes). Database backups containing deleted data are purged within an additional 90 days.

How to request earlier deletion. If you would like your data deleted before the 30-day window, email privacy@niralabs.ai. We will honor verified requests promptly subject to any legal holds.

07Your content

"Your Content" means any data, text, business information, brand voice samples, or replies you submit to Nira, plus any reply drafts Nira generates and you approve and publish to third party platforms.

You retain all ownership rights in Your Content. You grant Nira a worldwide, nonexclusive license to host, process, analyze, and display Your Content solely to provide the service to you. We do not sell Your Content. We do not train public AI models on Your Content.

You are responsible for ensuring Your Content does not violate any law, infringe any third party's rights, or breach any platform specific terms of service (including Google's, Yelp's, or other third party policies governing review responses).

08AI drafts and your responsibility

Nira generates draft replies, classifications, and insights using artificial intelligence. AI generated content is a starting point, not a finished product, and you remain the publisher of any reply that goes out under your business name.

• You are responsible for review and approval. You agree to review AI generated drafts before publishing them, except where you have explicitly enabled the optional auto response feature for a defined category of reviews.
• You remain solely responsible for published content. Customer remains solely responsible for communications published to third party platforms. Nira does not guarantee the accuracy, legality, tone, or regulatory appropriateness of any AI generated draft.
• AI is not professional advice. AI generated content is not legal, medical, HR, financial, tax, or compliance advice. Reviews involving safety, discrimination, employment claims, refund disputes, regulated industries, or potential litigation should be reviewed and answered by you with appropriate professional judgment, not auto published.
• Insights are decision support, not directives. Nira's classifications, sentiment scores, and pattern insights are pattern detection outputs intended to support your decision making. They are not a substitute for your own judgment.
• Results vary. Outcomes depend on your industry, your location, review volume, platform availability, customer response rates, and many other external factors. Nira does not guarantee specific revenue, ranking, review rating, or conversion outcomes.

If you discover that an AI generated draft was published in error or contains inaccurate or harmful content, contact us at nira@niralabs.ai. We will help you remove or correct the content where the third party platform allows it.

09Intellectual property

Nira, the Nira Labs name, logo, brand chrome, software, and all related intellectual property are owned by Nexaworks LLC d/b/a Nira Labs and protected by applicable laws. These Terms grant you a limited, nonexclusive, nontransferable license to use the service for your business purposes during your active subscription. No other rights are granted.

10Privacy

Our Privacy Policy at niralabs.ai/privacy describes how we collect, use, and protect your data. By using Nira you agree to the practices described in the Privacy Policy.

11Disclaimers

NIRA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NONINFRINGEMENT, AND ACCURACY.

We do not warrant that the service will be uninterrupted, error free, or that any specific business outcome (rating lift, review volume, conversion rate, ranking position, or any other metric) will result from your use of Nira. Reputation and business outcomes depend on many factors outside our control.

Third party platforms may change their terms, APIs, available data, or rate limits at any time. We do not guarantee continuous integration with any specific third party platform, and we are not responsible for actions, decisions, or outages caused by third party platforms.

Google Visibility ranking accuracy. Nira's Google Visibility feature reports your local search ranking based on data fetched from Google Maps via our search data provider on a periodic cadence (currently weekly for most plans). Rankings shift continuously based on Google's algorithm, competitor activity, your own review velocity, and other factors outside our control. Reported ranks reflect what was visible at the time of the most recent fetch and may differ from a search performed at a different time, location, device, or under a different Google account. Nira does not guarantee any specific ranking position or that ranking improvements will translate to revenue, foot traffic, or any other business outcome.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXAWORKS LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

13Indemnification

You agree to indemnify, defend, and hold harmless Nexaworks LLC d/b/a Nira Labs, its officers, employees, and agents from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, your violation of any third party right, content you submit or publish through Nira, or any AI generated draft you approve or auto publish.

14Termination

You may terminate your account at any time per the Cancellation section above. We may suspend or terminate your account immediately, without notice, if you breach these Terms, fail to pay, or use the service in a way that we reasonably believe poses a risk to other users or to Nira.

On termination, your right to access the service ends. The sections of these Terms that by their nature should survive termination (including ownership, indemnification, limitation of liability, and governing law) will survive.

15Changes to terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and update the "Last updated" date at the top of this page. Continued use of Nira after the changes take effect constitutes acceptance of the updated Terms.

16Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any dispute arising out of these Terms or the service will be resolved in the state or federal courts located in Travis County, Texas, and you consent to the jurisdiction of those courts.
